These general terms and conditions apply to all offers, orders and agreements of Cobotwebshop, a trade name of Olmia Robotics B.V. (Chamber of Commerce number 67813003, VAT number NL857183503B01, with its registered office at Stephensonstraat 7, 4004 JA Tiel, the Netherlands). Cobotwebshop is a web shop for collaborative robots (cobots), grippers, vision systems, mobile robots and accessories, and supplies exclusively to business customers in the Benelux.
1. Applicability
These terms apply to every agreement between Olmia Robotics B.V. and a business customer (hereinafter: the customer), including any company, institution or other party acting in the course of a profession or business. We do not supply to consumers. By placing an order or accepting a quotation, the customer accepts these terms.
- Deviations apply only where we have confirmed them in writing.
- We expressly reject the applicability of the customer's purchasing or other conditions.
- If any provision is void or voidable, the remaining provisions shall remain fully in force.
2. Offers and prices
All our offers are without obligation, unless expressly stated otherwise. Prices are in euros and exclude VAT, and exclude shipping, transport and installation costs unless stated otherwise.
- We may change prices; for orders that have already been confirmed, the price agreed at that time applies.
- For certain products, including Olmia's own product line, "price on request" applies. For those products, a price is only established through a written quotation.
- Certain prices are visible only after logging in and may be customer-specific.
- Obvious errors or mistakes in the offer, in prices or in specifications are not binding on us.
3. Formation of the agreement
An agreement is formed at the moment we confirm an order or accepted quotation in writing (by email is sufficient), or when we begin performance. We may refuse an order without giving reasons or request additional information.
4. Payment on account
Payment is exclusively on account: the customer receives an invoice and pays afterwards. We do not offer consumer payment methods.
- The payment term is 30 days after the invoice date, unless otherwise agreed in writing.
- Payment shall be made without discount, suspension or set-off.
- If the payment term is exceeded, the customer is in default by operation of law, without notice of default being required.
- From the moment of default, the customer owes the statutory commercial interest and the extrajudicial collection costs.
- We may require (partial) advance payment, a credit limit or security.
5. Delivery and installation
Stated delivery and installation periods are indicative and do not constitute a strict deadline. Exceeding them does not entitle the customer to dissolution of the agreement or compensation, unless we have acted with intent or deliberate recklessness.
- The risk of the goods passes to the customer upon delivery or, in the case of installation on site, at the moment the goods have arrived at the agreed location.
- Where agreed, Olmia carries out the installation and commissioning on site. The customer shall provide, in good time and free of charge, a suitable workplace, access, power and safe conditions.
- If delivery or installation cannot take place through the customer's actions or omissions, the additional costs shall be borne by the customer.
6. Retention of title
All goods supplied remain our property until the customer has paid everything owed in full, including interest and costs. As long as title has not passed, the customer may not pledge the goods, resell them outside the ordinary course of business, or encumber them. In the event of late payment, we may take the goods back.
7. Warranty
For the products supplied, only the warranty of the relevant manufacturer applies, under the conditions and periods set by the manufacturer. We ourselves give no further warranty. The warranty lapses in the event of improper use, unskilled modification or repair by third parties, or failure to follow operating, maintenance and safety instructions.
8. Liability
Our liability is limited to the invoice value of the order concerned, or at least to that part to which the liability relates, and, insofar as covered by our liability insurance, to the amount paid out by the insurer.
- We are not liable for indirect damage, including consequential loss, loss of profit, missed savings, production downtime and business interruption.
- The limitations do not apply in the event of intent or deliberate recklessness on the part of our management.
9. Right of withdrawal excluded
The statutory right of withdrawal applies only to consumers and therefore does not apply to our business customers. Returning or cancelling orders is not possible without our prior written consent, and is in any event excluded for goods that are custom-configured or specially ordered.
10. Force majeure
In the event of force majeure, we may suspend our obligations or dissolve the agreement in whole or in part, without being liable for compensation. By force majeure we mean, among other things, disruptions at suppliers, transport obstructions, shortages of parts, power or network outages and government measures.
11. Intellectual property
All intellectual property rights in our products, software, documentation, designs and website remain with us or our licensors. The customer acquires only a non-transferable right of use, insofar as necessary for normal use of what has been supplied.
12. Governing law and disputes
All agreements are governed exclusively by Dutch law; the applicability of the Vienna Sales Convention is excluded. We submit disputes exclusively to the competent court of the Gelderland district, without prejudice to our right to submit a dispute to the court having jurisdiction under the law.
13. Final provisions
We may amend these terms; an existing agreement is governed by the version that applied when it was concluded. These terms are also available electronically. Questions may be addressed to webshop@olmia-robotics.nl or by telephone on 0344 - 60 66 43.
